We sign a paid services agreement for:

As soon as a property is selected and preparation begins,
ROILITY signs a Project Management Agreement with the Investor or investment entity.
This includes:
-Monthly Retainer: 10,000 € + VAT
This fee acts as a deposit securing Roility’s ongoing involvement and hands-on execution of the project.
All terms are customized based on the project size and timeline.
Clear terms.
Each investment has a predefined exit strategy — typically through resale upon project completion. Roility manages the sales process directly or via selected partner agencies to maximize exposure and value.
We prioritize listing completed assets and curated investment opportunities directly on our platform.
Most projects are also offered to our private investor network at multiple stages of development — from acquisition and licensing to renovation and pre-sale.
This structure enables investors to enter or exit a project at different stages, depending on their risk appetite, timing, and capital strategy.
In certain cases, early exit may be possible through private transfer, secondary entry by another investor, or refinancing, subject to prior agreement and legal structure.
We take care of the project.

At Roility.ESTATE, every project is built inside its own dedicated Spanish SPV (Sociedad Limitada) — a clean, transparent and investor-focused structure:
1. Special-Purpose Vehicle (SPV)
• A separate S.L. company is created for each project.
• As an investor, you acquire shares directly in that SPV, ensuring full legal ownership of the investment asset.
2. Private Investment Agreement
• A bespoke agreement governs every stage: acquisition → design → renovation → marketing → resale.
• Clearly defined roles, responsibilities, timelines and return expectations.
3. Fund Integrity & Traceability
• Your funds enter the SPV’s dedicated bank account.
• Every transaction is strictly project-specific, fully auditable, and traceable.
4. Legal, Tax & Asset Protection
• We collaborate with Spain’s leading legal, fiscal & notarial advisors, ensuring full compliance and optimized tax treatment.
